1. Agreement to Terms
By accessing our website (www.tech-kraft.com) or engaging with any services provided by Techkraft ("Company", "we", "us"), you agree to be bound by these Terms and our Privacy Policy. If entering into these Terms on behalf of a company, you represent you have the authority to bind that entity.

Specific scope, deliverables, and commercial terms of any engagement are governed by a separate Statement of Work or Service Agreement.
3. Acceptable Use
You agree not to use our services unlawfully, attempt unauthorised access to our systems, disrupt our infrastructure, reproduce our proprietary materials without consent, misrepresent your identity, or transmit spam or malware.
4. Intellectual Property
All website content is the intellectual property of Techkraft. Client deliverables are governed by the relevant engagement agreement — work product developed specifically for a client and fully paid for becomes the client's property upon full payment, unless otherwise agreed.
5. Confidentiality
Both parties agree to hold the other's confidential information in strict confidence, use it only for the engagement, and apply reasonable care to protect it. Obligations survive termination for three (3) years unless an NDA specifies otherwise.
6. Payment Terms
Commercial terms are defined in the relevant engagement agreement. Unless otherwise agreed, invoices are due within 30 days; late payments may incur interest under Lithuanian law. Fees are quoted exclusive of VAT.
7. Limitation of Liability
Techkraft is not liable for indirect, incidental, or consequential damages. Our total aggregate liability shall not exceed fees paid in the twelve (12) months preceding a claim, except where liability cannot be excluded under EU or Lithuanian law.
8. Indemnification
You agree to indemnify Techkraft against claims arising from your violation of these Terms, misuse of our services, or infringement of third-party rights.
9. Termination
We may suspend or terminate access for material breach, illegal conduct, or legal/regulatory requirement. Provisions relating to IP, confidentiality, liability, and governing law survive termination.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Lithuania and applicable EU law. Disputes are subject to good-faith negotiation, then the exclusive jurisdiction of the courts of Vilnius, Lithuania.
11. Changes to These Terms
We may update these Terms at any time. Material changes will be communicated via our website or, where we hold your contact details, by email at least 14 days before taking effect.
